GAF Promo Club Terms and Conditions Last Updated: December 20, 2011 1. Description: Welcome to the GAF Promo Club (the “Club”), provided by GAF (“GAF” or “Sponsor”).  The Club is a program whereby GAF provides eligible members the opportunity to earn points for engaging in various activities such as purchasing products and services, and participating in sweepstakes and other promotions.  These Terms and Conditions (“Terms”) govern participation in the Club.  GAF reserves the right to change the format, elements, and promotions, alter the terms of any awards, and cancel or modify the Club and any of these Terms at any time. Any Federal or state income tax or other tax liability are the responsibility of the recipient.  Sponsor, in its sole discretion, will resolve all questions or disputes regarding the Club, including but not limited to eligibility questions and the provision of benefits.  Sponsor reserves the right to terminate, modify, revise, or change the Club and the Terms, in whole or part, at any time with or without notice. Changes may revise, for example, rules for earning or using points, continued availability of awards, expiration dates, program partners and the features of special offers.  Changes may result in a reduction in the value of points already accumulated, and may also result in forfeiture of unused points or other awards. 2. Eligibility: Membership in the Club is open to individual professional roofing contractors or builders/remodelers, who are legal residents of the 50 United States (including DC) who are 18 years of age or older. Rewards will not be shipped out of the United States. Professional roofing contractors and builders/remodelers are individuals whose primary source of income is from roofing and home construction/renovation. No corporate, company, or joint participation is permitted. All eligibility determinations will be made by Sponsor in its sole discretion.  Employees of GAF and the immediate families (spouse, children, parents, siblings and their respective spouses) or members of the households of each are not eligible. Sponsor reserves the right to disqualify anyone and terminate any member for any reason, including but not limited to any actions meant to abuse the Club, circumvent the Terms, or utilize the Club in a manner inconsistent with the Terms or intent of the Club or any portion of the Club. 3. How To Enroll: Go to www.gafpromoclub.com (the “Website”) and follow the instructions for registration.      By registering, you accept and agree to abide by these Terms and the decisions of Sponsor, which are final and binding in all respects.  If you choose to participate in Club promotions such as a sweepstakes, you may be required to provide additional information.  Providing fictitious, incorrect, or false information may result in termination of your account, forfeiture of all existing Points, benefits and any other remedy permitted by law. By registering, you consent to Sponsor’s collection, use, and disclosure of your information in connection with the Club and in accordance with the privacy policy on the Website. 4. GAF Promo Club Points: Points can be earned by participating in promotions, quizzes, sweepstakes, games and in other ways determined by Sponsor (“Offerings”).  Not all Offerings are eligible for points. To earn points, you must follow the instructions included in individual Offerings and submit all required documentation for review and confirmation of eligibility. Please see individual Offerings for details and restrictions.  The value of one point equals 1/100 cent.  If you participate in an Offering that qualifies for points, points will be entered into you account after required documentation is submitted and approved. POINTS ARE NOT REDEEMABLE FOR CASH AND MAY NOT BE BOUGHT, SOLD, TRADED, BARTERED, “POOLED,” OR IN ANY WAY TRANSFERRED. Points can be redeemed for the awards found in the Award Center on the Website. Points are accrued and the account point balance will be deducted based upon award redemption, with remaining points carrying over until the entire account point balance is used.  UNUSED POINTS EXPIRE AT THE END OF THE CALENDAR YEAR, unless otherwise indicated by Sponsor in its sole discretion.   5. Redemption: All redemption requests and other submissions will be reviewed for validation. Members are able to view their point account information at any time by logging in to www.gafpromoclub.com. Points may be redeemed for awards offered through the GAF Promo Club Awards Center. Awards cannot be redeemed without the member having sufficient point balance in their account. It is your responsibility to provide accurate contact and shipping information when redeeming awards. By redeeming awards, you acknowledge that neither Sponsor nor its directors, employees, or agents, have made or are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any award including but not limited to its quality, mechanical condition or fitness for a particular purpose. Any and all warranties (if any) are provided solely by the manufacturers, and you agree to look solely to such manufacturers for any such warranty. Sponsor does not exercise direct control over any third party suppliers of awards, and is not responsible for any injury, duress, service interruptions, and liabilities contained herein related to the award redeemed. 6. Audit: Sponsor reserves the right to verify and audit any or all submissions and require additional support information from the member. You understand and accept that Sponsor may conduct the review process itself or through an agent.  Documentation with altered and/or fraudulent information will be null and void, the responsible party will be disqualified from the Club, and legal action will be taken by Sponsor. 7. General Provisions: By participating, you agree to abide by and be bound by these Terms and the decisions of Sponsor, which are final and binding. You also consent to Sponsor’s use of your name, photograph, and/or likeness for advertising and promotion purposes without additional compensation, except where prohibited. You waive the right to assert as a cost redeeming an award, any and all costs of redemption and any liability which might arise from redeeming or seeking to redeem the award. By redeeming and accepting an award, you agree to release Sponsor and its directors, officers, employees and agents, including without limitation its advertising and promotion agencies, from any and all liability for loss or damage incurred with respect to the awarding, receipt, possession, use or misuse of any award. 8. Internet: Sponsor reserves the right, in its sole discretion, to modify, suspend or terminate the program should a virus, bugs or other causes beyond the control of the Sponsor corrupt the administration, security or proper play of the program. In such event, Sponsor is only responsible for the eligible entries received up to the date/time of corruption or modification, to the extent feasible. Sponsor is not responsible for late, lost, incomplete, or misdirected entries; computer system, phone line, electronic equipment, computer hardware, software or program malfunctions, or other errors; failures or delays in computer transmissions or network connections; problems downloading entries from the web site; or for any other technical problems related to web site entries. Sponsor is not responsible for incorrect or inaccurate entry information, whether caused by Internet users or by any of the equipment or programming associated with or utilized in the GAF Promo Club program, or by any technical or human error which may occur in the processing of the entries in the Promotion. CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROGRAM IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute, submissions will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. 9. Important Notices: Sponsor provides the Club, these Terms and other materials, and other services and products “As Is” and, to the fullest extent permitted by applicable law, expressly disclaims any representation or warranties of any kind, express or implied, including but not limited to warranties of merchantability, or fitness for a particular purpose. Under no circumstances, including but not limited to, negligence, shall Sponsor be liable for any direct, indirect, incidental, special or consequential damages arising out of the Club or any such other products or services, even if Sponsor has been advised of the possibility of such damages. In the event Sponsor or the Club is held liable for any damages related to these matters, your sole and exclusive remedy will be limited to reimbursement for services or products paid for by you to the entity held liable. Earning points and redemption of awards is subject to all applicable laws and regulations. Benefits and awards may be subject to income or other taxes. Such taxes and all disclosures related thereto are your sole responsibility.  Sponsor shall not be responsible for correspondence lost or delayed in the mail. Sponsor is not responsible for, and reserves the right to correct any pricing or typographical errors, errors of description, or errors regarding partners or offers.   If Sponsor improperly denies a member points or some other benefit, the member’s exclusive remedy shall be the issuance of the improperly denied credit, award or benefit if available, or such other alternative comparable benefit as determined by Sponsor, which shall have no liability whatsoever. In no event shall Sponsor or any Club partner or participant be liable to any member, or anyone claiming through a member, for any direct, indirect or consequential damages, or lost revenue or profits, arising out of Sponsor’s or any Club partner’s or participant’s acts or omissions in connection with the Club.  Sponsor reserves the right to correct any point value or other benefit granted in error.   Sponsor is not responsible for late, lost, incomplete, or misdirected entry information or communications; computer system, phone line, electronic equipment, computer hardware, software or program malfunctions, or other errors; failures or delays in computer transmissions or network connections; or for any other technical problems. Sponsor is not responsible for incorrect or inaccurate entry information, whether caused by members or by any of the equipment or programming associated with or utilized in the Club, or by any technical or human error which may occur in the processing of points and account information.  CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROGRAM IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. This Program is governed by the laws of the United States and the State of New Jersey, without respect to conflict of law doctrines.  As a condition of participating, you agree that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or in connection with this Program, shall be resolved individually, without resort to any form of class action, exclusively before a court located in New Jersey having jurisdiction.  Further, in any such dispute, under no circumstances will participants be permitted to obtain awards for, and hereby waive all rights to claim punitive, incidental or consequential damages, including attorneys’ fees, other than member’s actual out-of-pocket expenses, and member further waives all rights to have damages multiplied or increased. 10.
